CLARIFICATION ON THE CURRENT RCMP INVESTIGATION

Montreal | September 6, 2011

NOT ISSUED AS A PRESS RELEASE - FOR INFORMATION ONLY

On Thursday, September 1, 2011, an investigation was launched in SNC-Lavalin’s Oakville office by the Royal Canadian Mounted Police (RCMP). As a part of this investigation, we were informed that they were looking into details regarding a project in Bangladesh on which we bid in 2011. We are collaborating fully with the investigation and have launched our own internal enquiry to determine the cause of this situation.

For clarity on SNC-Lavalin’s potential involvement in this mandate, we had prepared a submission as the Owner's Engineer for the Bangladesh government where we would supervise the Contractor responsible for the overall project, a mandate with a value of $10 million for our firm. This mandate has not yet been awarded. SNC-Lavalin did not submit a bid as part of a contractor consortium.

At SNC-Lavalin, we have a Code of Ethics by which all employees are expected to abide. We do not tolerate unethical behaviour and insist that our employees respect all local laws as well as our Code. Our accountability as a firm is important to us, and we are committed to upholding the principles of good management and good governance.
